Acceptance of These Terms

Welcome to ClickZippy Live Bid, a B2B live reverse auction platform initiated by Giribala Creative Ventures Private Limited.

By accessing, registering for, or using ClickZippy Live Bid, you agree to comply with these Terms & Conditions and any applicable auction-specific rules displayed on the platform.

If you do not agree with these Terms, you should not use the platform.

About ClickZippy Live Bid

ClickZippy provides a digital environment through which businesses may post procurement requirements and suppliers may participate in competitive live reverse auctions.

ClickZippy provides the technology and platform for the auction process. Unless expressly agreed otherwise in writing, ClickZippy is not the buyer or supplier in an underlying commercial transaction.

Any purchase, supply, delivery, quality, payment, warranty or other commercial obligation between a buyer and supplier remains subject to the applicable commercial arrangement between those parties.

Accounts & Registration

Users must provide accurate and current information when creating an account and must have authority to act for the business or organisation represented by the account.

• Each user must protect their login credentials.
• Accounts must not be shared or transferred without authorisation.
• Users are responsible for activity performed through their account.
• Users must promptly notify ClickZippy of suspected unauthorised access.
• ClickZippy may verify account or business information where reasonably required.

Buyer Responsibilities

Buyers using ClickZippy are responsible for:

• Providing accurate and sufficiently clear requirement information.
• Setting appropriate opening and closing times.
• Providing applicable auction conditions and eligibility requirements.
• Reviewing supplier participation and bid information.
• Making procurement and award decisions in accordance with their requirements.
• Honouring commitments made directly to a selected supplier where applicable.

Buyers should not use the platform to publish misleading, unlawful, fraudulent or unauthorised requirements.

Supplier / Bidder Responsibilities

Suppliers and bidders are responsible for:

• Providing accurate company and registration information.
• Registering only for auctions they are authorised and qualified to participate in.
• Submitting genuine and commercially valid bids.
• Ensuring that each bid submitted through their account is authorised.
• Maintaining the ability to meet the requirements associated with bids submitted.
• Reviewing all auction conditions before participating.

A bid should be treated as a genuine commercial offer subject to the applicable auction conditions and any final commercial agreement between the buyer and supplier.

Live Bidding Rules

ClickZippy uses server-controlled auction timing. Buyers may set the opening and closing time for an auction, and suppliers may submit valid bids during the permitted live bidding window.

Competitive Ranking

The lowest valid bid is eligible for the current L1 position. Other valid bids may be ranked as L2, L3 and subsequent positions according to the platform's ranking logic.

Bid Validity

The platform may reject bids that do not satisfy the applicable minimum decrement, auction status, timing, eligibility or other validation requirements.

Timing

Bids submitted after the server-recognised closing time are not valid for the closed auction. The server's recorded auction time and bid timestamp will be used for platform processing.

Final Minute

Where the auction configuration provides a final-minute protection or extension mechanism, valid activity during the applicable final period may be handled according to the displayed auction rules. Users should review the rules shown for each auction before bidding.

Final Results & Award

At auction closing, ClickZippy may calculate and display the final valid ranking and relevant auction result.

The buyer may award the requirement to the L1 supplier or another supplier where permitted by the buyer's procurement rules, requirement conditions or applicable commercial process.

An L1 position does not automatically create a purchase order, contract, payment obligation or guarantee of business unless the buyer and supplier enter into the applicable commercial agreement.

Prohibited Conduct

Users must not:

• Manipulate, disrupt or interfere with an auction.
• Submit false, misleading or unauthorised bids.
• Use another person's or organisation's account without permission.
• Attempt to gain unauthorised access to the platform or its systems.
• Use automated methods to interfere with normal platform operation.
• Attempt to manipulate ranking, timing or bid records.
• Use ClickZippy for unlawful, fraudulent or deceptive activity.
• Upload malicious code or material that may compromise the platform.
• Attempt to obtain confidential information belonging to another participant.

Confidentiality & Fair Competition

Users must respect information made available through an auction and should not misuse another participant's confidential business information.

Where the platform displays anonymised supplier identities, participants must not attempt to circumvent the anonymity or identify competing suppliers through misuse of platform data.

Users remain responsible for determining what information they are authorised to disclose through the platform.

Availability & Technical Operation

ClickZippy aims to provide reliable access to its services but does not guarantee uninterrupted or error-free availability.

Service availability may be affected by maintenance, hosting, internet connectivity, telecommunications, security events, technical failures, force majeure events or circumstances beyond reasonable control.

The platform may perform maintenance, updates or changes to functionality when reasonably necessary.

System Records & Audit Trail

ClickZippy may maintain records of auction creation, supplier registration, bid submissions, quote updates, timestamps, rankings, auction closing, results, awards and relevant security events.

These records may be used for platform operation, audit, troubleshooting, dispute review, security, legal compliance and other legitimate business purposes.

Suspension & Termination

ClickZippy may restrict, suspend or terminate an account or participation where reasonably necessary, including where a user:

• Violates these Terms or auction-specific rules.
• Provides materially false or misleading information.
• Attempts to manipulate or compromise the platform.
• Engages in fraudulent, unlawful or abusive conduct.
• Creates a security or operational risk.

Where appropriate and legally permitted, ClickZippy may review relevant account or auction activity before taking action.

Disclaimer & Limitation of Liability

ClickZippy provides the platform on an operational basis and does not guarantee the quality, legality, availability, capability, financial standing or performance of any buyer or supplier.

Users are responsible for evaluating counterparties, requirements, bids, commercial terms and business risks before entering into any transaction.

To the extent permitted by applicable law, ClickZippy shall not be responsible for indirect, incidental, consequential or business losses arising from use of the platform, including losses resulting from third-party conduct, connectivity issues or events outside reasonable control.

ClickZippy may provide links to external websites or services. Such third-party resources are governed by their own terms and privacy policies. ClickZippy is not responsible for third-party content, availability or practices.

Changes to These Terms

Governing Terms & Dispute Resolution

These Terms are intended to be interpreted in accordance with applicable laws of India, subject to any mandatory legal rights or requirements that may apply.

Any dispute relating to the use of ClickZippy or these Terms should first be raised with ClickZippy so that the parties may attempt to resolve the matter in good faith.

Nothing in these Terms prevents a party from exercising rights or remedies that cannot lawfully be excluded.
